Reseller Program Agreement

Introduction

This Agreement sets forth the terms and conditions for participation in the manabiQ Reseller Program ("Program") provided by BDNet LLC ("we," "us," or "our"). By participating in the Program, you agree to be bound by all terms of this Agreement.

If you do not agree to this Agreement, please do not participate in the Program.

1. Program Overview

The Program is an affiliate program that allows resellers ("Participants") to earn commissions by referring new customers to manabiQ services.

1.1 Commission Rate

Participants will receive 18% of the revenue from customers they refer who subscribe to manabiQ paid plans. Commissions are calculated after deducting Stripe fees (approximately 3.6%).

1.2 Customer Discount

Customers who use the promotion code provided by the Participant will receive a 5% discount on their purchase.

2. Participant Obligations

2.1 Appropriate Marketing

Participants must promote manabiQ services appropriately and in good faith. The following activities are prohibited:

• Use of false or misleading statements
• Use of spam, unsolicited emails, or fraudulent marketing practices
• Unauthorized use of our trademarks, logos, or intellectual property
• Inappropriate comparisons with competitor services
• Activities that violate laws, regulations, or third-party rights

2.2 Promotion Code Management

Participants are responsible for properly managing their provided promotion codes and ensuring they are not used fraudulently by third parties.

3. Commission and Payment

3.1 Commission Calculation

Commissions are calculated when a purchase is completed using the Participant's promotion code. If a refund occurs, the corresponding commission will be deducted from future commissions.

3.2 Payment Method

Commissions are automatically transferred via Stripe.

3.3 Payment Timing

Commissions are automatically calculated and transferred after purchase completion. Transfer completion may take several business days depending on the payment method.

4. Refunds and Adjustments

If a customer requests a refund and we approve the refund, the corresponding commission will be automatically deducted from future commissions.

If a negative balance occurs due to refunds, that amount will be held until the next commission is generated and will be automatically offset.

5. Program Termination

5.1 Participant Termination

Participants may withdraw from the Program at any time. To withdraw, please contact us at contact@manabiq.com.

5.2 Termination by Us

We may terminate a Participant's participation in the following cases:

• Violation of this Agreement
• Fraudulent or deceptive practices
• Infringement of our trademarks or intellectual property rights
• Other activities we deem inappropriate

5.3 Commissions After Termination

Commissions earned before termination will be paid even after the Program ends. However, commissions for purchases made after termination will not be paid.

6. Intellectual Property

Trademarks, logos, and other intellectual property rights of manabiQ belong to us or our licensors. Participants may not use these intellectual property rights without our prior written permission.

Participants may only use official marketing materials provided by us for marketing purposes.

7. Limitation of Liability

We are not liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from the Program.

Our total liability shall not exceed the total amount of commissions received by the Participant from us.

8. Agreement Modifications

We reserve the right to modify this Agreement at any time without prior notice. Material changes will be communicated via email or through the Service.

Continued participation in the Program after changes constitutes acceptance of the modified Agreement.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States. Any disputes arising from this Agreement shall be resolved in the appropriate courts of California.
