1. Acceptance of Terms

By accessing or using manabiQ ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

manabiQ is operated by BDNet LLC ("we," "us," or "our"). These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

manabiQ is an AI-powered learning platform that enables businesses to:

• Upload documents, manuals, and training materials
• Generate interactive training modules using AI technology
• Create quizzes and assessments for learners
• Track learner progress and performance
• Distribute training content to team members

3. User Accounts

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Subscription and Payment

4.1 Free Trial

New users may be eligible for a 15-day free trial. Credit card information is required to start the trial. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan.

4.2 Billing

Subscriptions are billed monthly or annually, depending on your selected plan. All fees are non-refundable unless otherwise specified. We reserve the right to change pricing with 30 days' notice.

4.3 Cancellation

You may cancel your subscription at any time. Upon cancellation, you will retain access until the end of your current billing period. Data will be retained for 30 days after cancellation, after which it may be permanently deleted.

5. User Content

5.1 Ownership

You retain all ownership rights to the content you upload to the Service ("User Content"). By uploading User Content, you grant us a limited license to process, store, and display your content solely for the purpose of providing the Service.

5.2 Responsibility

You are solely responsible for your User Content. You represent and warrant that:

• You own or have the necessary rights to upload the content
• Your content does not infringe on any third-party intellectual property rights
• Your content complies with all applicable laws and regulations
• Your content does not contain harmful, illegal, or offensive material

5.3 Content Moderation

We employ AI-based safety measures to prevent the generation of harmful content. We reserve the right to remove any content that violates these Terms or is reported as inappropriate. Content that is flagged by our safety systems may be blocked or require manual review.

6. Prohibited Uses

You agree not to use the Service to:

• Upload copyrighted material without proper authorization
• Generate or distribute harmful, illegal, or discriminatory content
• Attempt to circumvent our AI safety measures
• Use the Service for any fraudulent or deceptive purposes
• Interfere with the security or integrity of the Service
• Scrape, harvest, or collect user data without authorization
• Resell, sublicense, or redistribute the Service without permission

7. Intellectual Property

The Service, including its original content (excluding User Content), features, and functionality, is owned by BDNet LLC and is protected by international copyright, trademark, and other intellectual property laws.

"manabiQ" and associated logos are trademarks of BDNet LLC. You may not use our trademarks without prior written consent.

8. AI-Generated Content

8.1 Ownership of AI Output

Content generated by our AI based on your User Content ("AI Output") is considered a derivative work of your original content. You retain rights to use AI Output for your business purposes.

8.2 Responsibility Division

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BDNET LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Business interruption
• Errors or inaccuracies in AI-generated content
• Actions taken based on AI-generated content

Our total liability for any claims arising from the use of the Service shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless BDNet LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, if you breach these Terms or engage in prohibited conduct.

Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination will survive, including ownership, warranty disclaimers, and limitations of liability.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service at least 30 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Santa Clara County, California.
